Assistant to the Corporate Clerk

Location: Watertown, MA

VHBs Watertown office is seeking an enthusiastic, highly organized, detail-oriented Assistant to the Corporate Clerk to help support our Board of Directors in the governance of our Generational Company. Working alongside VHB leaders, this important position provides the opportunity to assist VHBs Board of Directors as they focus on the strategic direction of the company, the annual business plan, and ownership transition.

Together, we work to improve mobility, enhance communities and economic vitality, and balance development and infrastructure needs with environmental stewardship.

Responsibilities

  • Attend Board and Stockholder meetings and prepare detailed, legally accurate minutes
  • Prepare agendas, and organize preparation and presentation of handouts
  • Maintain digital records of Board and Stockholders Sharepoint sites
  • Research company records, and identify, organize, and track policies and procedures
  • Help prepare a living "Board Manual" of policies, procedures, protocols, philosophy
  • Provide assistance to Board members information requests
  • Partner with Legal, Finance, and People & Culture teams
  • Assist with onboarding and exiting of Board members, both internal and external
  • Assist in organizing year-long stockholder process - setting up meetings, communication with stakeholders, all the way through completing purchase transactions
  • Assist with onboarding of new stockholders
  • Helping with stockholder transparency - newsletters, events
  • Maintain email group lists
  • East coast travel as needed

Skills & Abilities

  • Excellent verbal, written and interpersonal communication skills
  • Professional demeanor
  • Ability to multi-task in a fast-paced, deadline-oriented environment and manage multiple projects simultaneously
  • Basic understanding of Robert's Rules of Order desirable
  • Excellent organizational skills; attention to detail, self-motivation and the ability to think proactively is essential
  • Ability to maintain strictest confidentiality
  • Understanding of corporate governance concepts and protocols helpful
  • Excellent software skills including extensive experience and proficiency with MS Office Suite (Word, Excel, PowerPoint, Outlook Calendaring and Contact functions)

Qualifications

  • Associates degree; Bachelors in communications, pre-law, or related field preferred
  • 8+ years of related professional services organization experience, including executive-level or committee-level support
  • Paralegal or governance experience strongly preferred
